Whoa Excel Add-in Terms of Service, version 2. Effective October 2026.

These terms cover the Whoa Excel Add-in ("the add-in") from Whoa Systems. By clicking I Agree, or by installing or using the add-in, you accept them.

1. Free individual license

You may download, install and use the add-in free of charge, on any number of computers, at home or at work, including for paid and commercial projects. No account is required.

2. Commercial License for organizations

An organization that requires, installs or distributes the add-in for its staff needs a Commercial License. An employee who chooses to use it on their own doesn't.

One Commercial License covers the whole organization, with unlimited employees and computers. Buy it through the Stripe checkout linked from whoa1011.com, or ask for a written agreement. Subscriptions are billed monthly at the price accepted at checkout. Paying establishes the license; it doesn't unlock anything, and everyone gets the same add-in. A Commercial License lasts while its subscription is active. If the subscription ends, the license ends with the last paid period. The add-in keeps working either way.

3. Sharing

You may share unmodified copies of the add-in with anyone. An organization distributing it to its staff needs a Commercial License (section 2). The workbooks you build with the add-in are yours to share.

4. What you may not do

• Sell or rent the add-in, or charge for copies of it.
• Distribute modified copies.
• Remove or change its copyright or license notices.
• Use it for anything illegal.

5. Your data

This version of the add-in sends nothing to Whoa Systems: no account, no license check, no usage tracking. AI features connect directly from your computer to the AI provider you choose, under that provider's terms.

6. Support and updates

Support is by email at [email protected], as time allows. Updates are free. Paid custom features and consulting are available on request.

7. Ownership

Whoa Systems owns the add-in. You own the workbooks, code and data you create with it.

8. No warranty

The add-in is provided "as is", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. It is under active development and may contain bugs. Keep backups of important work.

9. Limitation of liability

To the fullest extent the law allows, Whoa Systems is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or business, arising from your use of the add-in. Our total liability for any claim is limited to what you paid Whoa Systems in the 12 months before the claim.

10. Indemnification

You agree to defend and hold harmless Whoa Systems against third-party claims arising from your use of the add-in, from workbooks or code you create or distribute with it, or from your breach of these terms.

11. Changes

New versions may ask you to accept updated Terms. Versions already downloaded remain subject to the Terms provided with them.

12. General

Texas law governs these terms, and disputes belong in the state or federal courts in Texas. If any part is unenforceable, the rest still applies. These terms are the entire agreement about the add-in unless you have a separate written agreement with Whoa Systems, which controls where the two differ. Questions: [email protected].
